Terms of Service

These Terms of Service ("Terms") govern your use of the Ganakys website, the client portal, and any services provided by Ganakys Codilla Apps OPC Pvt. Ltd. ("Ganakys"). By using our services you agree to these Terms.

1. Services

Ganakys provides product design, software development, hosting, operations, and related advisory services under a Build-Operate-Transfer model or such other model as separately agreed in a Master Services Agreement or Statement of Work.

2. Engagement and payment

Every engagement is governed by a signed Master Services Agreement and one or more Statements of Work that define scope, timelines, deliverables, and fees. Unless otherwise agreed, BOT engagements use a 40% upfront payment and twelve equal monthly instalments for the remainder. Invoices are payable within the terms stated on the invoice.

3. Intellectual property

During Build and Operate, Ganakys holds work-in-progress intellectual property in trust for the client. Upon successful Transfer and full payment of fees, all intellectual property in the delivered deliverables is assigned to the client. Ganakys retains rights to its own pre-existing tools, frameworks, and know-how.

4. Client responsibilities

The client agrees to provide timely feedback, decisions, and access to systems and information required for Ganakys to deliver the services. Delays caused by the client may impact project timelines and fees.

5. Confidentiality

Each party agrees to protect the other party's confidential information and to use it only for the purposes of the engagement. Confidentiality obligations survive termination.

6. Warranties and liability

Ganakys will perform the services with reasonable care and skill consistent with industry standards. Except as expressly stated, the services are provided without any other warranty. To the maximum extent permitted by law, Ganakys's total liability for any engagement is limited to the fees paid by the client in the twelve months preceding the claim.

7. Termination

Either party may terminate an engagement for material breach that is not cured within 30 days of written notice. On termination, Ganakys will deliver work-in-progress and the client will pay for services rendered up to the effective date of termination.

8. Governing law

These Terms are governed by the laws of India. The courts of Bengaluru, Karnataka will have exclusive jurisdiction over any disputes, subject to any arbitration clause in the Master Services Agreement.

9. Changes

We may update these Terms from time to time. Continued use of our services after updated Terms are posted constitutes acceptance of the changes.
